1. Definitions

  • Agreement: this partnership agreement with its appendices, as amended from time to time.
  • Effective Date: the date and time the partner registers its venue on Lunvi.
  • Customer: a person who uses Lunvi and reserves products offered by the partner, including anyone collecting the reservation on their behalf.
  • Offer: the description of the products, quantity, regular and discounted price, pickup time, pickup venue and other information published by the partner.
  • Partner: a company or entrepreneur operating one or more venues and using Lunvi.
  • Venue: a restaurant, café, fast food place, bakery, shop or other business premises of the partner open to the public.
  • Surplus Products: food, drinks and other food products that are good to eat but would otherwise be thrown away.
  • Service: the Lunvi app and website, through which partners offer surplus products and customers reserve them.

2. Conditions for using the Service

To use the Service, the partner:

  • correctly creates a partner account by following the steps in the Service;
  • provides real company details (name, IDNO, address, phone, contact person) and confirms them if asked;
  • accepts this Agreement;
  • operates the venue lawfully, with all permits required in the Republic of Moldova, and only sets such a venue as the pickup location.

3. Service description

Lunvi acts only as an intermediary. The contract for the sale of products is made directly between the partner and the customer; the partner is the seller. Lunvi doesn't prepare, store, pack, check or deliver the products and is not responsible for their quality or safety, including any harm to customers' health.

Lunvi is an online channel through which the partner sells surplus products to go, at a discount, so they aren't thrown away. The discount must be at least 30% off the regular price; we recommend 40–60%. In short, the Service works like this:

  1. The partner publishes offers through the Service.
  2. The Service shows the offers to nearby customers, on the map and in the list.
  3. The customer reserves the products in the Service. Reserving is free.
  4. The Service shows the partner the reservation, with the customer's name, phone and verification code.
  5. The sales contract is concluded between the partner and the customer at the venue, when the customer collects and pays for the products.
  6. The customer collects the products at the venue within the pickup time and pays the partner directly, using the methods the partner accepts.

Lunvi is not the seller, producer or supplier of the products. Lunvi has no obligation and, as a rule, no possibility to inspect the products or offers.

4. Service provider

  • Lunvi, Chișinău, Republic of Moldova
  • Email: dealmail365@gmail.com
  • Website: lunvi.md

The full details of the legal entity operating Lunvi will be published here once it is registered.

5. Lunvi's obligations

Lunvi:

  • provides the Service in accordance with this Agreement;
  • aims to announce planned outages in advance;
  • fixes problems as soon as reasonably possible, without guaranteeing uninterrupted availability; may stop the Service at any time;
  • verifies venues before they appear on the map;
  • keeps records of reservations for as long as necessary;
  • does not guarantee any level of sales;
  • may decide how and to whom offers are shown (for example by distance, dietary preferences or reviews).

6. Partner's obligations

The partner:

  • chooses which products to offer and is not obliged to publish offers;
  • only offers products that are good to eat, of suitable quality and stored in line with the law and food safety rules;
  • sets the real regular price and the discounted price;
  • describes the products correctly, completely and without misleading, including allergen information on request;
  • keeps reserved products and hands them over on the day of the reservation within the pickup time;
  • ensures the venue is accessible to customers during the pickup time;
  • immediately cancels in the Service any reservation it can't honour; cancelling doesn't release it from liability towards the customer;
  • collects payment and issues the fiscal receipt as required by law;
  • is responsible for its offers, products and obligations towards customers;
  • informs us of problems it notices in the Service;
  • keeps its login details safe and is responsible for everything done with its account;
  • ensures its staff comply with this Agreement and is liable for them as for itself;
  • doesn't use anyone else's account;
  • keeps company and venue details up to date.

7. Costs

Costs are described in Appendix 1 – Pricing agreement. The Service is free during the launch period. Lunvi may only introduce or change costs by notifying the partner by email or in the Service at least 30 days in advance; a new cost only applies if the partner accepts it. If not, the partner may end the Agreement without any payment.

8. Complaints

Lunvi is responsible for complaints about how the Service works. The partner is responsible for complaints about the products. Lunvi forwards product complaints to the partner and helps find a solution with the customer. Lunvi may cancel a reservation if it suspects it's fake or made in breach of the terms.

9. Limitation of liability

Neither party is liable to the other for indirect losses such as lost profit, loss of data or reputation. While the Service is free, Lunvi is not liable to the partner for damage arising from use of the Service, except where caused intentionally or by gross negligence. The partner indemnifies Lunvi against third-party claims related to food safety, defective products or the partner's breach of this Agreement or the law.

10. Confidentiality

The parties keep confidential any information received from each other that is marked confidential or is confidential by nature, including customers' personal data. This doesn't apply to public information, information lawfully received from third parties, information already held, or information that must be disclosed by law.

11. Personal data

After a reservation, the partner sees the customer's name and phone. The partner uses these only to hand over the order and communicate about it; it doesn't use them for anything else (such as advertising), copy them or pass them on. The partner protects the devices it uses to access the Service and tells us immediately if it suspects unauthorised access. Lunvi processes the data of the partner's contact persons under its Privacy policy. The partner complies with the personal data protection laws of the Republic of Moldova.

12. Intellectual property

The Lunvi Service, name, logo and documentation belong to Lunvi. The partner only receives the right to use the Service while this Agreement is in force. The partner doesn't copy or modify the Service, try to obtain its code, or access it other than through the app and website. The partner keeps the rights to its venue's name, logo and photos and allows us to display them in the Service and when communicating about Lunvi.

13. Term, termination and suspension

This Agreement enters into force on registration and runs indefinitely. Either party may end it at any time; the partner can do so directly in the app (Account → Delete account and venue). Either party may end it immediately if the other seriously breaches it and doesn't fix the breach within 7 days of notice. Lunvi may suspend or deactivate a venue if it suspects a serious breach, if account details seem false, or if anything other than surplus products is offered. Provisions on confidentiality, personal data and governing law survive termination.

14. Changes to the Agreement and the Service

Lunvi may change this Agreement by notifying the partner by email or in the Service at least 30 days in advance. If the partner keeps using the Service after that date, the changes are deemed accepted; if not, the partner may end the Agreement. Lunvi continuously develops the Service and may add or change features.

15. Assignment

The partner may not transfer this Agreement without Lunvi's written consent. Lunvi may transfer it to the legal entity that will operate the Service.

16. Force majeure

Neither party is liable for delays or failures caused by events beyond its control that it couldn't foresee (for example natural disasters, epidemics, decisions of authorities, power or internet outages). The affected party informs the other without delay.

17. Communications

Lunvi sends notices to the partner's account email or in the Service. They are deemed received when sent.

18. References

Lunvi may mention its cooperation with the partner on its website, in the app, on social media and in the press.

19. Governing law and disputes

This Agreement is governed by the laws of the Republic of Moldova. The parties first try to settle disagreements by negotiation. If that fails within a reasonable time, the dispute is settled by the competent court in Chișinău municipality.

20. Other provisions

A party's failure to exercise a right is not a waiver of it. If any provision becomes invalid, the rest remain valid. This Agreement doesn't create an association, partnership or agency between the parties. This Agreement with its appendices is the entire agreement between the parties; in case of differences, the appendices prevail on their subject matter.
